Fewer Regulations: Beneficial Ownership Information (BOI) Reporting Reduced by FinCEN

On Tuesday, the United States Department of the Treasury’s FinCEN group announced that they have permanently removed the requirement for U.S. persons and U.S. companies to report beneficial ownership information (BOI). This finalizes and formalizes the interim final rule from March 2025. Some additional relief was provided by the final rules. Notably, some companies remain subject to BOI. The final rule will become effective when published in the Federal Register.

The original BOI requirements were created under the Corporate Transparency Act (CTA), and both companies and individuals were required to report beneficial ownership information of entities.

In announcing this change, Secretary of the Treasury Scott Bessent stated, “… Treasury is eliminating a burdensome reporting requirement for millions of law-abiding business owners without compromising our national security.”

The final rule:

  • No Updates Needed. Exempts and frees those U.S. persons who have already obtained FinCEN IDs from the requirements to update or correct information originally provided to obtain these IDs.
  • Deletion of Data. Confirms that information about any individual (beneficial owners, company applicants, etc.) that FinCEN believes is a U.S. person (via a link to a U.S. driver’s license or U.S. passport) will be deleted.
  • Expanded Relief. The final rule exempted foreign companies from the requirement to report “company applicants” (the persons who helped the company register to do business in the United States.

BOI Still in Force. Not every company is exempt due to this regulatory relief. Those termed to be “Reporting Companies” are still subject to BOI. These include those companies formed under the law under any other country outside of the U.S. who have registered to do business in a U.S. state or tribal jurisdiction. This reduces a reporting requirement for many companies and individuals. BOI reporting and the Report of Foreign Bank and Financial Accounts (FBAR) both fall under FinCEN. FBAR requirements remain unchanged.
